BEDFORD METALS ANNOUNCES FLOW-THROUGH PRIVATE PLACEMENT

Vancouver, British Columbia – October 25, 2024 – Bedford Metals Corp. (TSX-V: BFM, FWB: O8D, ISIN: CA0762301012) (the “Company” or “Bedford”) is pleased to announce a non-brokered private placement of up to 1,111,111 flow-through units (each, a “FT Unit”) for gross proceeds of up to $1,000,000 (the “Offering”). Each FT Unit will be comprised of one common share of the Company issued on a “flow-through” basis (each, a “FT Share”) and one half (1/2) common share purchase warrant, each full warrant entitling the holder to acquire one additional non flow-through common share at a price of $1.10 for a period of twelve months from the date of issuance. Each FT Share will qualify as a “flow-through share” within the meaning of subsection 66(15) of the Income Tax Act (Canada).

An amount equal to the gross proceeds from the issuance of the FT Shares will be used for “Canadian exploration expenses” that will qualify as “flow-through mining expenditures”, as defined in the Income Tax Act (Canada).

The Company may pay finders’ fees to eligible parties who have assisted in introducing subscribers to the Offering. Closing of the Offering remains subject to certain conditions including, but not limited to, the receipt of all necessary approvals including the approval of the TSX Venture Exchange. The securities issued under the Offering will be subject to a statutory hold period expiring four months and one day from the closing of the Offering.
