BEDFORD METALS ANNOUNCES PRIVATE PLACEMENT

Vancouver, British Columbia – October 15, 2024 – Bedford Metals Corp. (TSX-V: BFM, FWB: O8D, ISIN: CA0762301012) (the “Company” or “Bedford”) announces that it intends to complete a non-brokered private placement (the “Offering”), under the Listed Issuer Financing Exemption (as defined below), of up to 6,944,444 common shares of the Company (the “Offered Shares”) at a price of $0.72 per Offered Share for gross proceeds of up to $5,000,000 (the “Offering”), pursuant to a price reservation Form 4A filed with the TSX Venture Exchange (the “TSXV”) on October 11, 2024 . 

The net proceeds raised from the Offering will be used to bolster its exploration and development activities across its portfolio of mineral projects. The Company plans to allocate the funds to accelerate exploration programs, evaluate strategic growth opportunities, and for working capital and general corporate purposes. 

Subject to compliance with applicable regulatory requirements and in accordance with National Instrument 45-106 – Prospectus Exemptions (“NI 45-106”), the Offering is being made to purchasers’ resident in Canada, except Quebec, pursuant to the listed issuer financing exemption under Part 5A of NI 45-106 (the “Listed Issuer Financing Exemption”). The securities offered under the Listed Issuer Financing Exemption will not be subject to a hold period in accordance with applicable Canadian securities laws. There will be an offering document related to the Offering that will be accessible under the Company’s profile at www.sedarplus.ca and on the Company’s website at www.bedfordmetals.com. Prospective investors should read this offering document before making an investment decision. 

The Company may pay finders’ fees to eligible parties who has assisted in introducing subscribers to the Offering. Closing of the Offering remains subject to certain conditions including, but not limited to, the receipt of all necessary approvals including the approval of the TSXV. 

In connection with the Offering, the Company also announces that it will not be proceeding with the private placement previously announced on June 18, 2024.
